The article discusses the other actors in a limited liability company (LLC) and their liability under a veil-piercing theory. It presents a brief overview of the veil-piercing theory, first popularized by professor Maurice Wormser, as applied to entity owners and considers doctrines under which corporate officers and manager of an LLC may be liable to the company's creditors. It also explores veil-piercing cases concerning the other entity actors.
